Key Terms

By using WISTX, you agree to these terms. Key points: we offer various subscription plans, respect our acceptable use policy, and we provide the service "as is" with limitations on liability.

1. Agreement to Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and WISTX Inc. ("WISTX", "Company", "we", "us", "our"), governing your access to and use of the WISTX service, including our website (https://wistx.ai), API services, MCP server, documentation, and any related applications or services (collectively, the "Service").


By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.


If you do not agree to these Terms, you must not access or use the Service. We reserve the right to update or modify these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of the updated Terms.

2. Eligibility and Account Registration

Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use or security breach

  • Individual Accounts: For personal or professional use by individuals
  • Team Accounts: For organizations with multiple users
  • Enterprise Accounts: For large organizations with custom requirements

  • Account Restrictions

  • One account per user (no shared individual accounts)
  • Accurate billing information required
  • Valid email address required for notifications
  • Compliance with applicable export control laws

  • Account Termination

    We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Abuse the Service or other users
  • Fail to pay applicable fees

    What WISTX Provides

    WISTX is a context augmentation platform for AI coding assistants that provides:

  • Access to compliance requirements and standards
  • Real-time infrastructure pricing information
  • DevOps best practices and patterns
  • Code examples and templates
  • Integration with AI coding assistants via MCP protocol
  • RESTful API for programmatic access

  • Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted access
  • Scheduled maintenance will be announced in advance when possible
  • Service may be temporarily unavailable due to technical issues
  • Features may be added, modified, or removed at our discretion

  • Service Limitations

  • Rate limits apply to prevent abuse
  • Usage quotas based on subscription tier
  • Some features may be in beta or experimental status
  • Third-party integrations subject to external service availability

  • Not a Substitute for Professional Advice

    WISTX provides information and context but is not a substitute for:

  • Professional legal or compliance consulting
  • Certified financial or FinOps advice
  • Security audits or penetration testing
  • Architectural reviews or consulting

  • Users are responsible for validating information and ensuring compliance with applicable requirements.

  • Price: $999/month or $9,990/year
  • 10,000 queries per month
  • 10 repository indexes per month
  • 50 GB storage for indexed content

    Payment Terms


  • Subscriptions are billed in advance monthly or annually
  • All prices are in USD unless otherwise specified
  • Prices subject to change with 30 days notice for existing customers
  • Applicable taxes will be added to the subscription price
  • Annual subscriptions receive approximately 20% discount

  • Payment Processing


  • Secure payment processing through Stripe
  • We do not store credit card information directly
  • Automatic recurring billing authorized upon subscription
  • Payment methods can be updated in account settings
  • Failed payments may result in service suspension after grace period

  • Refund Policy


  • Annual plans: Pro-rated refund within 30 days of initial purchase
  • Monthly plans: No refunds for partial months
  • Service issue refunds evaluated case-by-case
  • No refunds for Terms of Service violations

  • Usage Limits and Overages


  • Each plan includes specific query and indexing limits
  • Usage tracked in real-time via dashboard
  • Approaching limit notifications at 80% and 95%
  • Exceeding limits may result in:

    Plan Terms


  • Plans are billed in advance monthly or annually
  • Usage limits are enforced per billing cycle
  • No SLA guarantees for Professional plan (best effort)
  • Team and Enterprise plans include SLA commitments
  • Features may be added, modified, or removed
  • We reserve the right to modify plans with 30 days notice
  • 5. Acceptable Use Policy

    Permitted Uses

    You may use the Service for lawful purposes in accordance with these Terms, including:

  • Building and deploying infrastructure
  • Compliance research and validation
  • Cost analysis and optimization
  • Learning and education
  • Integration with development workflows

  • Prohibited Uses

    You agree NOT to:


    Security Violations

  • Attempt to gain unauthorized access to any systems
  • Probe, scan, or test vulnerabilities without permission
  • Breach or circumvent authentication or security measures
  • Access data not intended for you
  • Interfere with service to any user, host, or network

  • Abuse and Misuse

  • Exceed rate limits or usage quotas
  • Use automated systems to scrape or harvest data
  • Resell, sublicense, or redistribute the Service
  • Share API keys or account credentials
  • Create multiple accounts to circumvent limitations

  • Illegal Activities

  • Violate any applicable laws or regulations
  • Infringe intellectual property rights
  • Transmit malicious code or malware
  • Engage in fraud or misrepresentation
  • Use for illegal or harmful purposes

  • Content Violations

  • Submit false or misleading information
  • Upload malicious or harmful content
  • Violate privacy rights of others
  • Harass, abuse, or harm others

  • Enforcement

    Violations may result in:

  • Warning or notification
  • Temporary suspension
  • Permanent termination
  • Legal action
  • Reporting to authorities
  • 6. Intellectual Property Rights

    WISTX Property

    The Service and its original content, features, functionality, and technology are owned by WISTX and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.


    Our Rights Include

  • Software code and algorithms
  • Databases and data compilations
  • Documentation and training materials
  • Trademarks, logos, and branding
  • Website design and user interface
  • Proprietary methodologies and processes

  • Limited License to Users

    We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for permitted purposes
  • Use our API in accordance with documentation
  • Integrate MCP server with supported tools
  • Download and use provided SDKs and libraries

  • This license does not include rights to:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile the Service
  • Remove proprietary notices
  • Use our trademarks without permission

  • User Content

    You retain ownership of content you submit, but grant us a license to:

  • Store and process your content
  • Provide the Service to you
  • Improve our algorithms and Service
  • Generate anonymous, aggregated insights

  • Feedback and Suggestions

    Any feedback, suggestions, or ideas you provide become our property and may be used without compensation or attribution.


    Third-Party Content

    The Service may include third-party content that is subject to separate licenses. We are not responsible for third-party content accuracy or availability.

    7. Privacy and Data Security

    Data Protection

    Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.


    Your Responsibilities

  • Ensure you have rights to any data you submit
  • Comply with privacy laws for your users' data
  • Maintain security of your API keys and credentials
  • Report any suspected security breaches immediately

  • Data Processing

  • We process data as a data processor where applicable
  • Data Processing Agreements available for Enterprise customers
  • We comply with GDPR, CCPA, and other privacy regulations
  • Cross-border data transfers protected by appropriate safeguards

  • Security Measures

    We implement industry-standard security measures including:

  • Encryption in transit and at rest
  • Regular security audits and testing
  • Access controls and monitoring
  • Incident response procedures

  • However, no system is completely secure, and we cannot guarantee absolute security.


    Confidentiality

    Each party agrees to maintain confidentiality of the other party's confidential information and use it only for performing under this Agreement.

    8. Service Level Agreement (SLA)

    Availability Commitment

  • Professional Plan: 99.9% uptime target (best effort)
  • Team Plan: 99.9% uptime target (best effort)
  • Enterprise Plans: Custom SLA available
  • No availability guarantees for Professional plan

  • Exclusions

    SLA does not apply to:

  • Scheduled maintenance (announced 48 hours in advance)
  • Force majeure events
  • Issues caused by user actions or third-party services
  • Beta or experimental features
  • Professional plan usage

  • Service Credits

    For Team and Enterprise plans, if we fail to meet SLA commitments:

  • < 99.9% but ≥ 99.0%: 10% credit
  • < 99.0% but ≥ 95.0%: 25% credit
  • < 95.0%: 50% credit

  • Credits are applied to future invoices and must be requested within 30 days.


    Support Response Times

  • Enterprise: 2 hours (critical), 1 business day (standard)
  • Team: 4 hours (critical), 2 business days (standard)
  • Professional: 48 hours (all issues)

  • Maintenance Windows

  • Scheduled maintenance: Typically Sundays 2-4 AM UTC
  • Emergency maintenance: As required with notification
  • Feature updates: Continuous deployment with no downtime
  • 9. Warranties and Disclaimers

    Limited Warranty

    We warrant that the Service will perform substantially in accordance with our documentation. This limited warranty does not apply to:

  • Free tier usage
  • Beta or experimental features
  • Issues caused by user misuse
  • Third-party integrations

  • DISCLAIMER OF WARRANTIES

    EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF INFORMATION
  • UNINTERRUPTED OR ERROR-FREE OPERATION

  • No Guarantee of Results

    We do not warrant that:

  • The Service will meet all your requirements
  • Information provided is error-free or complete
  • Use of the Service will ensure compliance
  • Any specific results will be achieved

  • User Acknowledgment

    You acknowledge that:

  • You use the Service at your own risk
  • You are responsible for validating information
  • Compliance is your responsibility
  • Results may vary based on use case

  • Third-Party Services

    We disclaim all liability for third-party services, including:

  • AI coding assistants (Cursor, Claude, etc.)
  • Cloud providers (AWS, GCP, Azure)
  • OAuth providers
  • Payment processors
  • 10. Limitation of Liability

    MAXIMUM LIABILITY

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISTX'S TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • $100 USD, OR
  • THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM

  • EXCLUSION OF DAMAGES

    IN NO EVENT SHALL WISTX BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, REVENUE, OR BUSINESS
  • LOSS OF DATA OR DATA USE
  • BUSINESS INTERRUPTION
  • COST OF SUBSTITUTE SERVICES
  • PUNITIVE OR EXEMPLARY DAMAGES

  • THIS APPLIES EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


    ESSENTIAL PURPOSE

    These limitations apply even if any remedy fails of its essential purpose.


    BASIS OF BARGAIN

    You acknowledge that these limitations are an essential element of the agreement between us and that we would not provide the Service without these limitations.


    Exceptions

    Some jurisdictions do not allow limitation of liability, so some limitations may not apply to you. Nothing in these Terms excludes liability that cannot be excluded by law.


    User Indemnification

    You agree to indemnify, defend, and hold harmless WISTX and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the Service
  • Your violation of any rights of another
  • Your content or data
  • 11. Termination and Suspension

    Termination by You

    You may terminate your account at any time by:

  • Using the account deletion feature in settings
  • Contacting hi@wistx.ai
  • Canceling your subscription

  • Termination by WISTX

    We may terminate or suspend your account immediately for:

  • Violation of these Terms
  • Non-payment of fees
  • Illegal or fraudulent activity
  • Excessive abuse of the Service
  • At our discretion with 30 days notice (without cause)

  • Effect of Termination

    Upon termination:

  • Access to the Service immediately ceases
  • API keys and credentials are revoked
  • Data deletion occurs per our Privacy Policy
  • No refunds for unused subscription time (except as required by law)
  • Provisions that should survive termination remain in effect

  • Data Export

  • You may export your data before termination
  • We provide data export tools in account settings
  • After termination, data export is not guaranteed
  • Some data may be retained for legal requirements

  • Suspension

    We may suspend your account temporarily for:

  • Investigation of suspected violations
  • Excessive resource usage
  • Payment issues
  • Security concerns

  • During suspension, you cannot access the Service but your data is preserved.

    12. Dispute Resolution

    Informal Resolution

    Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@wistx.ai. Most disputes can be resolved informally within 30 days.


    Arbitration Agreement

    If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.


    Arbitration Process

  • Arbitration conducted by JAMS under its Streamlined Arbitration Rules
  • Location: San Francisco, California (or remotely)
  • Single arbitrator mutually agreed upon
  • Each party bears its own costs
  • Decision is final and binding

  • Class Action Waiver

    YOU AND WISTX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.


    Exceptions to Arbitration

    The following disputes are not subject to arbitration:

  • Intellectual property infringement claims
  • Small claims court actions
  • Injunctive relief for Terms violations
  • Disputes where arbitration is prohibited by law

  • Governing Law

    These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.


    Jurisdiction

    For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts in San Francisco, California.

    13. General Provisions

    Entire Agreement

    These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and WISTX regarding the Service.


    Modifications to Terms

  • We may modify these Terms at any time
  • Material changes will be notified 30 days in advance
  • Continued use after changes constitutes acceptance
  • You may terminate if you disagree with changes

  • Assignment

  • You may not assign your rights without our written consent
  • We may assign our rights to successors or affiliates
  • Terms remain binding on permitted successors and assigns

  • Severability

    If any provision is found unenforceable, the remaining provisions continue in full force and effect, and the unenforceable provision shall be replaced with an enforceable provision that best reflects the original intent.


    Waiver

    No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right shall not constitute a waiver.


    Force Majeure

    Neither party is liable for delays or failures in performance due to circumstances beyond reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

  • Relationship of Parties

    Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and WISTX.


    Export Controls

    You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.


    Government Use

    If you are a U.S. government entity, the Service is a "Commercial Item" as defined at 48 C.F.R. §2.101, and your rights are limited to those granted to all other users under these Terms.
